5. JURISDICTION. This agreement shall be governed by and construed and enforced in accordance with the laws of the State of Florida without regard to conflicts of law. Any claim or cause of action arising from or relating to this Agreement, the Site, or the Content will be adjudicated and resolved in the state courts of or the federal courts sitting in the State of Florida and Users irrevocably agree to the exclusive jurisdiction of such courts. In the event of a conflict between the laws, rules, and regulations of the State of Florida or the U.S. and any foreign laws, rules, and regulations, the laws, rules and regulations of the State of Florida or the U.S., as applicable, will govern. The Site is based in the U.S. and makes no representation or warranty that the Site or the Content are appropriate for use outside of the U.S. Access or use of the Site and the Content will, at all times, be in compliance with all applicable, state, and local laws, rules, and regulations of the jurisdiction in which such Users access the Site and the Content. If any term of this Agreement is deemed to be invalid, whether or in part, the remaining terms shall be deemed valid.
